1. Acceptance of Terms
By accessing or using Cleo ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Service. The Service is provided by Cleo and is intended for use by businesses operating in Ireland and the United Kingdom.
2. Description of Service
Cleo is an AI-powered business assistant that provides financial insights, alerts, and operational briefings via WhatsApp and a web dashboard. The Service connects to your existing business tools (accounting software, email) to aggregate and analyse your business data.
3. Account Responsibilities
- You are responsible for maintaining the confidentiality of your account credentials.
- You must provide accurate and complete information when registering.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorised use of your account.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorised access to the Service or its related systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to send spam, unsolicited messages, or harassing communications.
- Reverse engineer, decompile, or disassemble any aspect of the Service.
5. AI-Generated Content
The Service uses artificial intelligence to generate business insights, forecasts, and recommendations. While we strive for accuracy, AI-generated content should not be considered financial, legal, or tax advice. You should verify important decisions with qualified professionals. We are not liable for decisions made based on AI-generated content.
6. Actions Taken on Your Behalf
Cleo can perform actions on your behalf, such as sending invoice payment reminders via your connected accounting tool. All such actions require your explicit confirmation before execution. You are responsible for reviewing and approving any actions Cleo proposes to take.
7. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.
8. Limitation of Liability
To the maximum extent permitted by law, Cleo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.
9. Service Availability
We aim to provide continuous access to the Service but do not guarantee uninterrupted availability. We may suspend or discontinue the Service at any time with reasonable notice. We are not liable for any interruptions caused by third-party services (Twilio, Xero, Google, Microsoft, etc.).
10. Termination
Either party may terminate this agreement at any time. Upon termination, we will delete your data in accordance with our Privacy Policy. Any provisions that by their nature should survive termination shall remain in effect.
11. Governing Law
These terms are governed by the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ireland.
